I would have to say that either would be good in a boat in good condition. The 496 is the later model that is used in place of the 502.
502 Mag = 415 HP
496 MAG = 385 HP?
496 HO = 425 HP?
If you plan on staying stock, get the 496 with closed cooling. If you plan to modify the engine, there is a lot more stuff for the 502's.

Hey, when they start on the first turn of the key, they all sound great! :D
You are only losing 6ci of thunder you won't hear that, all BB's have the sound of authority. I have run both in various customes cruiser style boats the 496 has a bit of an edge the way they start and run, customers like them. They report better economy and smoother running, most came out of 454 boats. I think they are both great motors for Classics, they will run pretty close top at end. Like MP said not much upgrade stuff for the 396 YET!
